American Bitcoin surges 10% after $1.9 million insider stock purchase

American Bitcoin (NASDAQ: ABTC) shares rallied 10% over the past 24 hours, as regulatory filings revealed that board director Justin Mateen spent nearly $1.93 million to acquire the company’s stock. The gains follow a prolonged decline that left ABTC trading over 95% below its all-time high.

Significant insider activity boosts sentiment

Justin Mateen, well known as the co-founder of Tinder and a member of American Bitcoin’s board since March 2025, purchased more than 306,000 shares in two consecutive transactions. On August 5, Mateen acquired roughly 144,500 shares at an average of $6.40 per share, amounting to approximately $925,000. The following session, he bought another 162,438 shares at $6.19 each, spending nearly $1 million more.

With these transactions, Mateen’s total holdings rose to 492,297 Class A shares, accounting for a noticeable share of the company following its recent reverse stock split. Company filings show that insiders collectively control approximately 7.1% of American Bitcoin, equating to about $34 million in equity.

The timing of Mateen’s purchase, just days after the company’s second-quarter results appeared, marks the largest insider buy at American Bitcoin for the past year. Market analysts presented mixed outlooks on ABTC. One of three analysts tracked by MarketBeat rates the stock a Buy, while another recommends Hold and the third suggests Sell, leading to a consensus Hold rating and an average price target of $45.

Insider ownership in American Bitcoin currently stands at 7.1%, a roughly $34 million stake, following the largest insider purchase in the past year. Analysts remain divided, with the consensus rating now at Hold and targets ranging from $15 to $45.

Wall Street Zen and Weiss Ratings both issued Sell ratings over the weekend, while Maxim Group initiated a Buy with a $15 target in late July. Zacks upgraded ABTC to Hold status earlier this year.

Stock performance and corporate restructuring

American Bitcoin went public in September 2025 through a reverse merger with Gryphon Digital Mining, briefly reaching a post-IPO high of $14.65. Since then, the share price has fallen more than 95%, driven in part by sector pressures and internal financial challenges.

On July 2, the company executed a 1-for-15 reverse stock split, reducing the share count from about 1.09 billion to 73 million and lifting the stock price above Nasdaq’s $1.00 minimum bid threshold. Analysts including Satish Patel from CoinShares have cautioned that reverse splits often signal financial distress, typically resulting in negative returns over the following six to twelve months.

For the quarter ending June 30, American Bitcoin reported a net loss of $57.2 million, less than the $82 million loss in the prior quarter. Mining revenues reached $67 million despite weaker Bitcoin prices during the period. CEO Mike Ho linked much of the quarterly losses to an approximately 11% decline in Bitcoin value, resulting in a $71.1 million asset impairment. However, the firm achieved record production by mining 932 BTC and increased its treasury reserves to over 8,000 coins.
